Terms of Service

This page reflects the operational intent of the Terms and is published so prospective customers can review the substantive terms. Final binding language is delivered by counsel before first sale; that final language supersedes this page in case of conflict.

These Terms govern your use of the public website, the customer portal, and any free or paid service offered through them. Your use of the Binary Intelligence Windows client is also governed by the EULA; if you are an enterprise customer subject to a signed Master Services Agreement, the MSA controls in case of conflict.

1. Accounts

You are responsible for the accuracy of the email address you provide and for all activity that occurs on your account. Account sign-in is via passwordless magic link; keep your inbox secure.

2. Acceptable use

  • Do not attempt to disrupt, probe, or compromise the website, the licensing API, the customer portal, or other customers' data.
  • Do not use the service in violation of applicable law, including export controls and sanctions.
  • Do not resell, sublicense, or redistribute the service without a written reseller agreement.
  • Activation keys and license envelopes are issued for your use; sharing them is a material breach.

3. Subscriptions and billing

Self-checkout SKUs renew automatically until cancelled. You may cancel any time from the billing portal; cancellation takes effect at the end of the paid term. Refunds are issued at C2's discretion within 30 days of purchase; refunded licenses are revoked.

4. Service availability

The website and customer portal are provided on a best-efforts basis without an availability SLA for self-checkout SKUs. Enterprise SKUs may include SLAs negotiated in the MSA. Brief downtime for maintenance, releases, and provider incidents may occur without notice.

5. Intellectual property

The Software, the Mimir corpus, and the underlying Cognitive Infrastructure framework are owned by C2Consultants, LLC and are protected by copyright, trade secret, and other intellectual property laws. No license is granted to you except as expressly stated in the EULA.

6. Disclaimers and limitation of liability

The website, customer portal, and any free service are provided "as is" and "as available" without warranty. To the maximum extent permitted by law, C2 disclaims all warranties, express or implied. C2's aggregate liability arising out of or relating to these Terms is limited to USD $100 for any user without a paid subscription, and to the fees paid in the 12 months preceding the claim for any paid subscriber.

7. Changes

C2 may update these Terms. Material changes are notified by email at least 30 days before they take effect.

8. Governing law

These Terms are governed by the laws of the State of [GOVERNING_STATE], without regard to its conflict-of-laws principles. Disputes are resolved in the state and federal courts located in [GOVERNING_VENUE].
