Terms of Service

The short version

Use the service lawfully and don't abuse it. Paid plans renew until you cancel, and self-serve plans are refundable within 30 days. The software is owned by C2Consultants, LLC and licensed to you under the EULA. We limit our liability and disclaim warranties to the extent the law allows. This summary is for convenience; the full terms below govern.

These Terms of Service ("Terms") are a binding agreement between you and C2Consultants, LLC ("C2," "we," "us"), [Registered address — Charlotte, NC]. They govern your use of the public website, the customer portal, and any free or paid service offered through them (the "Service"). By using the Service you agree to these Terms. If you do not agree, do not use the Service.

Your use of the Binary Intelligence Windows client is also governed by the EULA, and our handling of data is described in the Privacy Notice and DPA. If you are an enterprise customer under a signed Master Services Agreement ("MSA"), the MSA controls in case of conflict.

1. Eligibility and accounts

You must be at least 18 and able to form a binding contract. You are responsible for the accuracy of the email address you provide and for all activity under your account. Sign-in is by passwordless magic link; keep your inbox secure and notify us promptly of any unauthorized use.

2. Acceptable use

  • Do not disrupt, probe, or compromise the website, the licensing API, the customer portal, or other customers' data.
  • Do not use the Service in violation of applicable law, including export controls and sanctions.
  • Do not resell, sublicense, or redistribute the Service without a written reseller agreement.
  • Activation keys and license envelopes are issued for your use; sharing them is a material breach.

3. Subscriptions, billing, and refunds

Self-serve plans renew automatically until cancelled. You may cancel any time from the billing portal; cancellation takes effect at the end of the current paid term, and you retain access until then. Fees are charged through our payment processor (Stripe) and are exclusive of taxes, which are added where applicable. Self-serve plans (Home and SMB) are refundable within 30 days of the initial purchase; refunded licenses are revoked. Except as stated here or required by law, fees are non-refundable.

4. Service availability

The website and customer portal are provided on a best-efforts basis without an availability SLA for self-serve plans. Enterprise plans may include an SLA negotiated in the MSA. Brief downtime for maintenance, releases, and third-party provider incidents may occur without notice.

5. Intellectual property

The software, the Mimir corpus, the underlying Cognitive Infrastructure framework, and all related trademarks and content are owned by C2Consultants, LLC and protected by intellectual-property laws. No rights are granted except as expressly stated in these Terms and the EULA. Feedback you provide may be used by C2 without restriction or obligation to you.

6. Third-party services

The Service relies on third parties (including Stripe for payments and Microsoft Azure for hosting). Your use of those services may be subject to their terms. We are not responsible for third-party services we do not control.

7. Disclaimers

The website, customer portal, and any free service are provided "as is" and "as available" without warranty of any kind. To the maximum extent permitted by law, C2 disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of liability

To the maximum extent permitted by law, C2 is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. C2's total aggregate liability arising out of or relating to the Service is limited to USD $100 for any user without a paid subscription, and to the fees you paid in the 12 months preceding the claim for any paid subscriber.

9. Indemnification

You agree to indemnify and hold C2 harmless from third-party claims arising out of your misuse of the Service or your violation of these Terms or applicable law.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access for material breach, non-payment, or unlawful use. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, indemnification, and governing law) survive.

11. Changes to these Terms

We may update these Terms. Material changes are notified by email or in-product at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.

12. Governing law and venue

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Mecklenburg County, North Carolina.

13. General

These Terms, together with the EULA, Privacy Notice, DPA, and any applicable MSA, are the entire agreement between you and C2 regarding the Service. If any provision is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control.
