End User License Agreement

The short version

You get a license to run the software on the number of endpoints your plan allows, for as long as your subscription is active. Don't reverse-engineer it, resell it, or tamper with the license. The software acts on your systems only inside the boundaries you configure — you own those boundaries. This summary is for convenience; the full terms below govern.

This End User License Agreement ("EULA") is a binding agreement between you and C2Consultants, LLC ("C2"), [Registered address — Charlotte, NC], governing your use of the Binary Intelligence Windows client ("the Software"). By installing or using the Software you agree to this EULA.

1. License grant

C2 grants you a non-exclusive, non-transferable, revocable license to install and run the Software on the number of Windows endpoints permitted by your plan, for the term of your subscription. Your entitlements (tier, endpoint count, expiry, capabilities) are represented in a signed license envelope delivered after payment.

2. Restrictions

  • You may not reverse engineer, decompile, or attempt to derive the source code, except to the extent applicable law expressly permits.
  • You may not remove or alter copyright or license notices.
  • You may not redistribute, resell, sublicense, or rent the Software without a written reseller agreement with C2.
  • You may not forge, modify, or bypass the signed license envelope, the activation flow, or the revocation list.

3. Bounded autonomous action

The Software performs remediation inside operator-defined boundaries that you configure. By default, only low-risk remediations execute autonomously; higher-risk actions stage for human approval. You are responsible for reviewing and tuning these boundaries for your environment, and for the systems you target.

4. Telemetry

The Software contributes anonymized error signatures and remediation outcomes to the Mimir corpus to improve detection and reasoning. Contribution varies by tier:

  • Home: contribution is mandatory and a condition of the license.
  • SMB: contribution is enabled by default; you may opt out from client settings.
  • Enterprise: contribution is disabled by default; you may opt in.

Contributed data is anonymized and excludes machine names, file contents, user identifiers, and other PII. See the Privacy Notice for full disclosure.

5. Updates

The Software checks for updates on a published channel (typically stable). You may pin to a specific channel or version via configuration. Critical security updates may be delivered out-of-band.

6. Term and termination

The license terminates at the earlier of (a) expiration of your subscription, (b) revocation by C2 for cause (including non-payment or material breach), or (c) cancellation by you via the customer portal. On termination you must uninstall the Software and stop using the license envelope.

7. Refunds

Self-serve plans (Home and SMB) are refundable within 30 days of the initial purchase. Refunds revoke the associated license envelope.

8. Disclaimers

The Software is provided "as is" and "as available." To the maximum extent permitted by law, C2 disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the maximum extent permitted by law, C2 is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. C2's aggregate liability under this EULA is limited to the fees you paid for the Software in the 12 months preceding the claim. You acknowledge that the Software takes automated actions on your systems within the boundaries you configure, and that you are responsible for those boundaries.

10. Export and sanctions

You may not use the Software in violation of U.S. export controls or sanctions regulations, or in any jurisdiction where such use is prohibited.

11. U.S. Government end users

The Software is "commercial computer software" and the documentation is "commercial computer software documentation" as those terms are used in FAR 12.212 and DFARS 227.7202. U.S. Government end users acquire the Software with only the rights set forth in this EULA, consistent with those regulations.

12. Governing law and venue

This EULA is governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Mecklenburg County, North Carolina.

13. General

This EULA, together with the Terms of Service and any applicable MSA, is the entire agreement regarding the Software. If any provision is unenforceable, the remainder stays in effect. Sections 2, 5, 8–13 survive termination. C2 may update this EULA; material changes are notified to customers by email at least 30 days before they take effect, and continued use after the effective date constitutes acceptance.
